Terms & Conditions

1. Introduction

These Terms & Conditions govern access to and use of the website and web design services provided by Anna Creative Web LLC.

By accessing our website, submitting an order, or engaging our services, you agree to these terms to the extent permitted by applicable law. If you do not agree, please do not purchase or use our services.

2. Our Services

Anna Creative Web LLC provides digital web design services. Depending on the specific service purchased and the written project agreement, services may include website layout design, visual styling, page structure planning, responsive design, website content presentation, and related design work.

The specific deliverables, project timeline, fees, revision arrangements, and client responsibilities will be determined by the applicable service description, quotation, or written agreement.

Services not expressly included in the agreed scope are not automatically included in the purchase.

3. Orders and Payment

Clients must provide accurate information when placing an order and cooperate with reasonable requests for information necessary to perform the service.

Payment terms will be presented at checkout or confirmed in the applicable quotation or project agreement.

Unless expressly stated otherwise in writing, purchases are one-time transactions. Our services do not automatically enroll clients in subscriptions, recurring billing, or automatic renewals.

Payment processing may be handled by third-party payment providers and is subject to their applicable terms and requirements.

4. Project Timelines

Estimated project timelines depend on the complexity of the work, the timely provision of materials, and client feedback.

We make reasonable efforts to meet agreed schedules but cannot guarantee an estimated completion date where delays arise from incomplete materials, changes in requirements, third-party service interruptions, or other circumstances beyond our reasonable control.

Where a significant delay occurs, we will make reasonable efforts to communicate relevant information and discuss an appropriate revised timeline.

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete project requirements.
  • Supplying content, images, logos, and other materials necessary for the project.
  • Ensuring they have the legal rights and permissions to use supplied materials.
  • Reviewing drafts and providing feedback within a reasonable period.
  • Providing authorized access to relevant platforms when required.
  • Maintaining appropriate backups and access to their own accounts and data.

Clients must not request work that infringes third-party rights or violates applicable law.

6. Revisions and Changes in Scope

Revisions are governed by the applicable service description or written project agreement.

Requests outside the agreed scope may require additional fees, a revised timeline, or a separate written agreement. We will seek the client’s approval before proceeding with additional chargeable work.

7. Intellectual Property

Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property, including materials, tools, software, templates, methods, and other assets owned or lawfully used before the project.

Clients retain ownership of the original materials they supply, subject to any third-party rights.

The ownership and permitted use of project-specific final deliverables will be determined by the applicable service agreement and any relevant license terms. Where no separate agreement applies, rights in custom deliverables will transfer to the client upon full payment to the extent legally available and subject to third-party licenses, pre-existing materials, and other applicable restrictions.

Third-party fonts, software, stock images, plugins, themes, and other licensed assets remain subject to their respective license terms.

Clients are responsible for ensuring that materials they provide do not infringe another party’s intellectual property rights.

8. Digital Delivery

Our services are delivered electronically, through online access, digital files, website implementation, or another agreed digital method.

No physical product shipment is involved unless a separate written agreement expressly provides otherwise.

Delivery timelines and methods are described in our Digital Service Delivery Policy or the applicable project agreement.

9. Cancellation and Refunds

Cancellation and refund requests are handled under our Cancellation & Refund Policy and applicable law.

Eligibility may depend on whether project work has started, the work completed, and the stage of delivery. Nothing in these terms excludes rights or remedies that cannot legally be waived.

10. Third-Party Services

A project may depend on third-party hosting providers, domain registrars, website platforms, plugins, software, payment providers, or other services.

Unless expressly included in the written project agreement, third-party fees, subscriptions, hosting, domain registration, maintenance, and ongoing technical support are not included automatically.

We are not responsible for independent changes, outages, or policies of third-party providers, although we may reasonably assist with project-related issues within the agreed scope.

11. Acceptable Use

You agree not to use our website or services to:

  • Violate applicable laws or regulations.
  • Infringe intellectual property or privacy rights.
  • Transmit malicious code or attempt unauthorized access.
  • Interfere with website security or operation.
  • Provide fraudulent information or misuse our services.

We may take reasonable steps to protect our website, systems, and legitimate business interests where misuse occurs.

12. Disclaimer of Warranties

We will perform agreed services with reasonable care and skill, subject to applicable law.

Except for express commitments in a written agreement and warranties or guarantees that cannot legally be excluded, our website and services are provided without additional implied warranties to the fullest extent permitted by law.

We do not guarantee specific commercial outcomes, search engine rankings, website traffic, sales, conversion rates, or business performance unless expressly agreed in writing.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Anna Creative Web LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services, including loss of profits, revenue, business opportunities, or data.

To the fullest extent permitted by law, our aggregate liability arising out of a particular service engagement will not exceed the amount paid or payable for the specific service giving rise to the claim.

These limitations do not apply where prohibited by law, including liability that cannot legally be excluded or limited.

14. Indemnification

To the extent permitted by law, clients agree to be responsible for claims arising from materials they supply or their unlawful use of our services, including claims that supplied materials infringe third-party rights.

Nothing in this section requires a client to indemnify us for claims caused by our own unlawful conduct or for any liability that cannot legally be shifted.

15. Governing Law and Disputes

These terms will be governed by the laws applicable in the Commonwealth of Massachusetts, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

The parties will first attempt to resolve disputes through good-faith communication. If a dispute cannot be resolved informally, either party may pursue remedies available through the appropriate courts or other lawful dispute-resolution procedures.

Nothing in this section limits any mandatory rights available to consumers under applicable law.

16. Changes to These Terms

We may update these Terms & Conditions from time to time. Revised terms will be posted on our website with an updated revision date.

Changes will not retroactively eliminate rights that have already accrued where prohibited by law.

17. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

18. Entire Agreement

These terms, together with the applicable service description, written quotation, project agreement, and relevant website policies, form the agreement governing the use of our services.

If a project-specific written agreement conflicts with these terms, the project-specific agreement will control for that project to the extent of the conflict and as permitted by law.
